Terms of Service
These terms govern your use of our website and the freight brokerage and logistics services provided by Qeep Logistics. Please read them carefully.
Last updated: June 23, 2026
By accessing qeeplogistics.com or engaging Qeep Logistics(“Qeep,” “we,” “us”) to arrange transportation or logistics services, you (“you,” the “customer” or “shipper”) agree to these Terms. If you are agreeing on behalf of a company, you represent that you are authorized to do so.
1. Our role
Qeep is a licensed freight broker and third-party logistics provider. We arrange for the transportation of freight by qualified, vetted motor, rail, ocean and air carriers; except where we expressly agree in writing to act as carrier, we are not the carrier and do not take possession of cargo. Carriers transport freight under their own authority, tariffs and contracts of carriage.
2. Quotes and rates
- Quotes are estimates based on the information you provide and on prevailing market and capacity conditions at the time of quoting.
- A quote does not reserve capacity and is not binding until we confirm a booking in writing. Rates may change if shipment details (weight, dimensions, commodity, accessorials, timing or locations) differ from those quoted, or if market conditions change before tender.
- Unless stated otherwise, quotes are valid for the period noted on the quote.
3. Bookings and your responsibilities
When you book a shipment with us, you agree that you will:
- Provide complete and accurate shipment information, including correct commodity description, weight, dimensions, piece and pallet counts, value, and pickup/delivery requirements.
- Properly package, label, block and brace freight for safe transport, and ensure it is ready at the agreed time.
- Declare dangerous goods, hazardous materials, oversize/overweight, high-value, temperature- sensitive and regulated commodities in advance, with required documentation.
- Provide accurate customs and commercial documentation for cross-border shipments and comply with our Trade Compliance requirements.
- Confirm you have the right to ship the goods and that doing so does not violate any law, sanction or third-party right.
Inaccurate or incomplete information may result in reweigh/reclass charges, delays, additional fees, or refusal of service.
4. Cargo claims and carrier liability
Loss-and-damage liability for freight rests with the transporting carrier, subject to the carrier’s tariff and to applicable law (including the Carmack Amendment in the United States and the carriage-of-goods rules applicable in Canada). We will assist you in filing and pursuing claims against carriers, but Qeep is not the cargo insurer and does not guarantee carrier liability limits. We recommend you maintain appropriate all-risk cargo insurance; we can help arrange shipment-specific coverage on request.
5. Charges and payment
- Charges include the agreed line-haul rate plus any applicable accessorials (e.g. detention, layover, liftgate, residential, reweigh/reclass, redelivery, fuel and border fees).
- Invoices are payable per the terms stated on the invoice or in your credit agreement.
- You remain responsible for charges arising from inaccurate information or changes you request.
6. Service estimates
Transit times, ETAs and “rates in 10 minutes” response targets are good-faith estimates during business hours and are not guarantees unless we agree to a guaranteed service in writing. Many factors outside our control — weather, border inspections, carrier delays, force majeure — can affect timing.
7. Website use and intellectual property
The website, including text, graphics, logos, the coverage map and software, is owned by or licensed to Qeep and protected by intellectual-property laws. You may use the site for legitimate business purposes only. You may not copy, scrape, reverse-engineer, or use the site to develop a competing service, or in any unlawful or disruptive manner.
8. Disclaimers
The website and any information on it are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the fullest extent permitted by law.
9. Limitation of liability
To the fullest extent permitted by law, Qeep is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or goodwill, arising from the website or our services. Nothing in these Terms limits liability that cannot be limited under applicable law.
10. Indemnification
You agree to indemnify and hold harmless Qeep and its personnel from claims, losses and costs arising from your breach of these Terms, your shipment information, the goods you ship, or your violation of law or third-party rights.
11. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts located in Ontario have jurisdiction, except that nothing prevents us from seeking relief in any competent jurisdiction to protect our rights or collect amounts owed.
12. Changes
We may update these Terms from time to time. Continued use of the site or our services after an update constitutes acceptance of the revised Terms.
